These Terms & Conditions of Sale apply to quotes and orders from Lenzip Manufacturing Corp. ("Lenzip," "we," "us," or "our").

These Terms & Conditions of Sale govern quotes and orders from Lenzip Manufacturing Corp. ("Lenzip," "we," "us," or "our"). Website use is governed by our separate Terms of Use. Personal information collected through the website is described in our Privacy Policy.

Quote Validity & Pricing

This quote is valid for thirty (30) days from the date of issue. Due to potential volatility in the supply chain, Lenzip reserves the right to requote or adjust pricing prior to final order confirmation in the event of significant fluctuations in raw material costs.

Order Specifications & Approvals

The customer is solely responsible for carefully reviewing and verifying all specifications outlined in this quote (including, but not limited to, length, gauge, color, slider type, and finish). Production will not commence until final approval of the quote is received.

Payment, Credit, and Title

Full payment is due based on the terms explicitly indicated on the Lenzip invoice. Past-due balances shall accrue interest at a rate of 1.5% per month (18% annually) or the maximum legal rate allowable by law, whichever is lower. Pro-rata payments are due as partial shipments are made and invoiced. If the Buyer delays a scheduled shipment, the goods will be held and stored at the Buyer's sole risk and expense.

Lenzip reserves the right to evaluate the Buyer's creditworthiness at any time. If, at its sole discretion, Lenzip determines that the financial condition of the Buyer is unsatisfactory, Lenzip may suspend production, halt transit, or require full or partial payment in advance of delivery.

Title to the custom goods shall pass to the Buyer only upon Lenzip's receipt of full payment of the purchase price. Until such payment is received, Lenzip retains a security interest in the goods and all proceeds from any sale of the goods by the Buyer.

Lead Times & Force Majeure

Estimated lead times commence only after final quote approval and the receipt of all necessary order details. All provided lead times are estimates and are subject to change. Lenzip shall not be held liable for any delays or failures in performance resulting from circumstances beyond our reasonable control (Force Majeure), including but not limited to material shortages, machine downtime, carrier delays, labor disputes, or acts of God.

Manufacturing Tolerances & Yields

Due to the mechanical processes involved in custom zipper fabrication, finished products are subject to the following standard length tolerances:

  • Zippers under 24 inches: +/- 1% variance
  • Zippers 24 inches and longer: +/- 2% variance

Tape width is subject to a commercial tolerance of +/- 1/16 inch.

Additionally, Lenzip reserves the right to ship and invoice for an acceptable overage or underage of up to 10% of the total ordered quantity.

Tape Color Policy

Lenzip uses quality dyes in production. Wash fastness and color performance are not guaranteed unless specific standards are requested by the customer and accepted by Lenzip in writing. The customer is responsible for testing tape color and dye performance for suitability with their fabric, processes, and end use.

Exact color matching is not guaranteed across different dye lots, duplicate or repeat shipments, or between different tape materials or constructions.

Changes, Cancellations & Returns

Because our products are made-to-order, all sales on custom zippers are final. No standard returns for buyer's remorse or misordering will be accepted.

  • Change Orders: Any modifications to specifications requested after production has begun will incur a scrap charge for any materials already processed.
  • Cancellations: In the event of an order cancellation, the customer assumes full financial responsibility for any and all costs incurred by Lenzip up to the point of cancellation, including staged materials, labor, and setup time.

Disclaimer of Warranties and Limitation of Liability

Lenzip warrants that its custom-manufactured goods will conform to the specifications approved by the Buyer and will be free from defects in materials and workmanship at the time of delivery. LENZIP MAKES NO OTHER AND EXPRESSLY DISCLAIMS ANY OTHER WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Lenzip shall not be liable for any loss of use, or any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of the use or failure of the goods. In no event shall Lenzip's total liability exceed the purchase price of the specific goods giving rise to the claim. All claims for defective goods must be submitted to Lenzip in writing within thirty (30) days from the date of delivery. No goods may be returned for defect without prior written authorization from Lenzip. The sole obligation of Lenzip shall be, at its exclusive discretion, to replace the defective goods or issue a credit to the Buyer for the purchase price.

Tooling & Equipment

Any new molds, dies, or specialized tooling engineered or created to produce a customer's custom zippers remain the exclusive, proprietary property of Lenzip, regardless of any associated setup or tooling fees charged to the customer.

Governing Law and Dispute Resolution

These Terms and Conditions, and any contract or quote to which they apply, shall be governed by and interpreted strictly under the laws of the State of Indiana, without regard to its conflict of law principles.

In the event of any dispute, claim, or controversy arising out of or relating to this quote or the manufactured goods, the parties agree to first attempt to resolve the matter through direct, good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, exclusive jurisdiction and venue for any resulting litigation shall lie in the state or federal courts located in Whitley County, Indiana. The prevailing party in any such dispute shall be entitled to recover its actual attorneys' fees, court costs, and related expenses.
